naishoshare Terms of Use

These Terms of Use (hereinafter referred to as the “Terms”) set forth the conditions for using “naishoshare” (hereinafter referred to as the “Service”). All persons who use the Service (hereinafter referred to as “Users”) shall use the Service upon agreeing to these Terms.

Article 1 (Definitions)

1. “File Information” means the file data itself uploaded by Users to the Service, as well as log information related to upload, download, and similar operations.
2. “Operator” means the individual or organization that operates the Service.
3. “User Data” means cookie information, access logs, and other information obtained in connection with the use of the Service that does not directly identify a specific individual.

Article 2 (Application of the Terms)

1. These Terms apply to all relationships between Users and the Operator in connection with the use of the Service.
2. The Operator may establish separate guidelines and other individual provisions regarding the Service (hereinafter collectively referred to as “Individual Provisions”). Regardless of their title, such Individual Provisions shall constitute a part of these Terms.
3. In the event of any inconsistency between the content of these Terms and any Individual Provisions, the Individual Provisions shall prevail unless otherwise specified.

Article 3 (Modification of the Terms)

1. The Operator may modify these Terms without prior notice to Users when deemed necessary.
2. The revised Terms shall take effect from the time they are posted on the Service or from such time as separately specified by the Operator. If a User continues to use the Service after the revision, the User shall be deemed to have agreed to the revised Terms.

Article 4 (Internet Connection)

1. Communications over the Internet involve equipment and networks beyond the control of the Operator. The Operator cannot fully manage or guarantee communications between Users and the Service.
2. The Operator assumes no responsibility for eavesdropping, tampering, information leakage, or any other incidents that may occur when Users utilize public Wi-Fi or other networks. Users shall use a secure communication environment at their own responsibility and discretion.

Article 5 (Uploaded Files and Responsibility)

1. All copyrights and other rights relating to files uploaded by Users to the Service remain with the respective Users.
2. Users shall bear sole responsibility for the content of the files they upload, and the Operator shall not be liable for any loss or damage arising from such content.
3. Users represent and warrant that the files they upload do not infringe the rights of any third party (including but not limited to copyrights, portrait rights, privacy rights, and other rights).
4. As a general rule, the Operator does not arbitrarily view the content of Users’ files. However, if there is suspicion of a prohibited act, a request from a governmental or public authority under applicable laws and regulations, or if the system determines that a file is a “dangerous file,” the Operator may review the File Information and take necessary measures such as deletion or reporting.

Article 6 (Prohibited Files)

Users shall not upload any files that fall under any of the following:

1. Files that violate laws, regulations, or public order and morals
2. Files that involve criminal acts, predict criminal acts, or promote criminal acts
3. Files that may constitute obscene materials, child pornography, or child abuse
4. Files that contain discriminatory or hateful expressions regarding race, ethnicity, religion, gender, etc.
5. Files that infringe the copyrights, portrait rights, privacy rights, or other rights of others
6. Files that contain computer viruses, malware, spyware, or other harmful programs
7. Files that may interfere with the operation of the Service
8. Any other files deemed inappropriate by the Operator

Article 7 (Prohibited Conduct)

In using the Service, Users shall not engage in any of the following acts:

1. Uploading or downloading files prohibited under the preceding Article
2. Acts that violate laws, regulations, or public order and morals
3. Criminal acts, involvement in criminal acts, or preparatory acts related to criminal activity
4. Acts that infringe intellectual property rights such as copyrights and trademarks related to the Service
5. Acts that place excessive load on the servers or networks of the Service, or acts that may result in such load
6. Acts that intentionally exploit defects or specifications of the Service
7. Unauthorized access or attempts thereto
8. Use of the Service for unlawful purposes (including but not limited to spam distribution, fraud, and distribution of attack tools)
9. Any other acts deemed inappropriate by the Operator

Article 8 (Detection of Prohibited Acts and “Dangerous Files”)

1. The Operator may become aware of prohibited acts or prohibited files through reports from Users, analysis of access logs, detection by the system, or similar means.
2. The Operator may classify File Information as a “Dangerous File” if it is determined to be involved in prohibited acts or prohibited files, and may review its content and logs and take necessary measures such as deletion.
3. Dangerous Files and related logs may be provided to the police or other public authorities in response to requests based on applicable laws and regulations or in connection with illegal acts or unauthorized access.

Article 9 (Storage Period and Deletion of Files)

1. As a general rule, the Service stores uploaded files for approximately one hour from the time of upload.
2. Notwithstanding the preceding paragraph, due to server load, failures, maintenance, system malfunctions, or other operational reasons, files may be deleted in less than one hour.
3. Users agree that there is no guarantee that files will be stored for one full hour or remain downloadable, and shall not object to the Operator even if files are deleted earlier than expected.
4. Files uploaded to the Service will be deleted from the system after the storage period has elapsed or at such time as the Operator deems necessary, and as a general rule cannot be restored.
5. Users shall not use the Service as their sole means of storage, and shall back up files themselves as necessary.

Article 10 (Handling of Logs and Information)

1. For the purposes of operating and maintaining the Service, preventing unauthorized use, and performing statistical analysis, the Operator may obtain and store information such as access logs, IP addresses, user agents, and dates and times of uploads and downloads.
2. If there is a legally valid request for disclosure or if deemed necessary to respond to illegal acts or unauthorized access, the Operator may provide such information to the police or other public authorities.
3. The Operator shall handle the information obtained in an appropriate manner within the scope of the above purposes.

Article 11 (Cookies, Advertising, and Analytics)

1. The Service may use cookies and similar technologies for the purposes of improving service quality, conducting access analysis, and delivering advertisements.
2. The Service may use access analytics tools such as Google Analytics and third-party advertising services such as Google AdSense. Providers of these services may use cookies and other technologies to collect anonymous usage information; such information generally does not contain data that directly identifies individuals.
3. Users may disable cookies through their browser settings and thereby refuse information collection via cookies. However, if cookies are disabled, some functions of the Service may not be available.
4. The handling of data in third-party advertising and analytics services shall be governed by the privacy policies and terms of use of the respective providers. The Operator shall not be liable for any damages incurred by Users in connection therewith.

Article 12 (Changes, Suspension, and Termination of the Service)

1. The Operator may change the content of the Service or suspend or terminate the provision of the Service without prior notice to Users.
2. Even if Users or third parties incur damages as a result of changes to, suspension of, or termination of the Service, the Operator shall bear no responsibility whatsoever.

Article 13 (Disclaimers)

1. The Operator does not warrant that the Service is free from factual or legal defects (including but not limited to defects related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, or security, as well as errors, bugs, or infringement of rights).
2. Even if file loss, damage, or leakage occurs due to transfer failures, server failures, unauthorized access by third parties, or other causes, the Operator shall not be liable in any way.
3. The Operator shall not be responsible for any transactions, communications, or disputes arising between Users and other Users or third parties in connection with the Service.
4. Except in cases of willful misconduct or gross negligence by the Operator, any liability of the Operator shall be limited to direct and ordinary damages actually incurred.

Article 14 (Indemnification by Users)

If the Operator incurs damages as a result of a User’s violation of these Terms, such User shall compensate or indemnify the Operator for all such damages and expenses (including reasonable attorneys’ fees).

Article 15 (Governing Law and Jurisdiction)

1. The interpretation and application of these Terms shall be governed by the laws of Japan.
2. In the event of any dispute between the Operator and a User arising out of or in connection with the Service, the court having jurisdiction over the location of the Operator shall be the exclusive agreed court of first instance.
